Please read these terms and conditions carefully before accessing or using the Conmove platform and services.
User Acceptance Notice
PLEASE READ THESE FOLLOWING TERMS AND CONDITIONS (“TERMS”) CAREFULLY AS THE USE OF THE SERVICES IS SUBJECT TO THE ACCEPTANCE OF AND COMPLIANCE WITH THESE TERMS. THESE TERMS HAVE BEEN CREATED BY CONMOVE PVT. LTD.
BY CLICKING ON THE “I ACCEPT” OR “I AGREE” BUTTON OR BY DOWNLOADING, INSTALLING OR OTHERWISE USING THE APPLICATION, YOU ACCEPT AND AGREE TO THE TERMS CONTAINED HEREIN. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, INSTALL OR USE THE APPLICATION.
1.1 Company shall mean Conmove Pvt. Ltd., a company incorporated under the Companies Act, 2013 having office at Office No.208 B-Wing, Great Eastern Chambers, CBD Belapur, Navi Mumbai – 400614, MH (IN).
1.2 Application shall mean the application known as Conmove & Conmove.io created, developed and operated by the Company, provided to Users through mobile devices, web interfaces, etc. including Registration, Login, Tracking, Routes, Search, Booking, Billing, Exchange, Proof of Delivery, mobile signature, and Vehicle document modules.
1.3 Service Provider shall mean the entities or persons providing their services through the Application, including Personnel.
1.4 Personnel shall mean any drivers, employees, vendors, sub-contractors, agents, representatives of the Service Provider who enable provision of the Service Provider Services.
1.5 Service Recipient shall mean the entities or persons who wish to avail the services being offered by the Service Providers.
1.6 Users shall collectively include Service Providers and Service Recipients.
1.7 Services shall mean the platform and digital services of the Application offered by the Company.
1.8 Service Provider Services shall mean the transportation, hauling, and logistics services provided by Service Providers to Service Recipients.
The Company has developed the Application, which is an online B2B marketplace for the transport industry to connect the Service Providers with Service Recipients that are desirous of availing their services through the application. Through such Services, the Application provides Service Recipients the availability of vehicles/trucks and enables real-time tracking.
The Application acts as a facilitator for individual Personnel/Drivers to provide transportation services to Service Recipients. Drivers shall mean and include drivers, transporters, brokers, manufacturing companies, Packers & Movers, courier companies, and any Service Provider as an owner of vehicles or seeking third-party logistics services.
3.1 License to use: Users represent that they are of the age of majority under applicable laws. The Company grants Users a limited, non-exclusive, non-transferable, non-sub-licensable and revocable right to download, install and use the Application. The Application is licensed, not sold.
3.2 Scope of License & Account Registration: Users register a User Account verified via OTP passcode. Registration requires accurate Personal Information including name, phone number, email, company, vehicle details, VIN, and driver data. Service Providers may create sub-user accounts for their Personnel and remain solely responsible for any activity or claims arising under them.
3.3 Maintenance & Support: The Company may provide periodic maintenance and updates at its sole discretion.
3.4 Updates & Upgrades: Users may subscribe to new updates/upgrades. Choosing not to update may limit access to specific features.
The Application provides Users with comprehensive logistics ecosystem features:
- BoxMove: Multimodal container management & transport marketplace with driver tracking mobile app.
- BoxYard: Digital 3D yard management with container inventory & CHE driver tracking.
- BoxGate: Gate automation with image capturing of Driver, Fleet, and Containers on trailers.
- BoxEye: Real-time ocean container tracking based on shipping lines with arrival estimates.
- e-Carting: Online platform for filing shipping bills towards export cargo carting for CFS, CB, and console agents.
- Transport Exchange: Demand-supply matching, GST & KYC verification, e-Booking, e-LR, e-POD, and e-Invoice with GST-based IRN.
Users shall ensure that they do not:
- Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others.
- Publish, upload, distribute or disseminate any inappropriate, defamatory, infringing, obscene or unlawful information.
- Upload files containing software protected by intellectual property laws without proper authorization.
- Upload or distribute files containing viruses, corrupted data, or harmful programs.
- Rent, lease, lend, resell, or host the contents of the Application for third parties.
6.1 Technology Standards: Users shall use updated devices and network connections. Outdated wireless and computer systems may compromise service quality.
6.2 Occasional Maintenance: The Company may occasionally perform scheduled maintenance during which Services will be temporarily unavailable.
6.3 Disruption Rectification: In the event of an unexpected disruption, Conmove will make every attempt to rectify the problem expediently.
7.1 Content Available: The Company makes no warranties regarding accuracy of third-party content. Under no circumstances shall the Company be liable for errors, omissions, or losses incurred from reliance on platform content.
8.1 User Supplied Data: Users represent that all submitted data does not infringe on third-party intellectual property, privacy, or confidentiality rights.
8.2 License to Data: Users grant the Company a limited right to display and distribute submitted data to enable marketplace functionality.
The Application may contain links to third-party websites or advertisements. These Linked Websites are not under the control of Conmove. Accessing third-party sites is at the User’s own risk, and Conmove is not party to any transaction between Users and third-party services.
The Application offers three flexible payment models for Users:
- Annual subscription model
- Deposit-based model
- Transaction-based model
Payments may be processed via payment gateway, net banking, credit/debit card, or pre-paid deposit released upon satisfactory service delivery as defined in respective purchase orders.
Conmove is the sole owner of all title, interest, source code, logos, software, and Intellectual Property Rights related to the Application. Nothing in these Terms constitutes any transfer of ownership from the Company to Users.
12. User Covenants: Users warrant they have full authority to execute these Terms, provide accurate documentation, and resolve inter-party logistics disputes independently without implicating the Company.
13. Termination: The Company may terminate access immediately upon material breach of Terms, legal orders, or service discontinuation.
14. Indemnity: Users agree to indemnify and hold harmless Conmove, its directors, officers, and affiliates from all claims arising out of service misuse, third-party rights infringement, driver/personnel actions, or regulatory violations.
15. Disclaimer: Services are provided on an “as is” and “as available” basis. Service Providers bear full responsibility for cargo safety, valid insurance, driving licenses, and driver background checks.
16. Limitation of Liability: Conmove shall not be liable for indirect, consequential, or profit loss. The total aggregate liability of the Company to any User is limited to the actual fees paid by that User.
17. Modifications: The Company may update these Terms at any time by posting changes on the Application.
18. Force Majeure: Conmove is not liable for service failures resulting from natural disasters, telecommunication/TRAI/DOT regulations, power outages, or civil disturbances.
19. Jurisdiction: These Terms are governed by the laws of India. The courts in Pune, Maharashtra, India shall have exclusive jurisdiction over all proceedings.
